CHAPTER 2 SCHEDULE OF PRACTICAL TRAINING 2.0 Introduction In this chapter, trainee will explain the tasks and the job duties that have been given by the UB Consult Sdn Bhd during the practical training. During this internship, basically the tasks given is more focusing on the secretarial works and related with the administration of the company practices. Trainee gains a lots of information on how to finish the tasks properly and apply the theory of learning in class with the real situation. The tasks that have been given is include the Preparation of Document before Meeting, Preparation of Minutes of Meeting, Procedure of Share Certificate, Preparation of Annual Return, Preparing Circular Resolution, Lodge Document to Companies Commission…show more content…
According from Kang Siew Meng, Minutes is defined as the written records for the resolution and business transacted at the meeting and recorded in the minute books. During the period of the practical training, preparing minutes of meeting can be considered as the main job task that have been given to trainee as the trainee prepared minutes of meeting for more than 10 companies. The trainee prepare the minutes for board of director meeting for Baldah Toyyibah Sdn Bhd, Tunjong Development Sdn Bhd, Air Kelantan Sdn Bhd, Ladang Lubok Bongor Sdn Bhd, Syarikat Ladang Sungai Terah Sdn Bhd, Perbadanan Permodalan Kelantan Bhd, Universiti Malaysia Kelantan Ventures Sdn Bhd, Damai Sdn Bhd, Ascii Line Sdn Bhd, Kijang Kuari Sdn Bhd, and Kelstone Sdn Bhd. Before preparing the minutes of meeting, company secretary provided to the trainee with the decided agenda and also the detail of the meeting that have been prepared by the management for the further report. After completing the minutes of meeting, the minutes will be sent to chairman for signature to verification. Usually the circular resolution involved for a company that have a few shareholders. Trainee was given a task to construct the circular resolution for the company ICT Incubator Sdn Bhd, Ladang Kelantan Sdn Bhd, Hostcare Sdn Bhd, Perdana Resort Sdn Bhd and etc. After completing the circular resolution, trainee has given a task to distribute and gain the signature of the member that have approved the resolution. 2.1.6 Lodge Document to Companies Commission of Malaysia (CCM) One of the company secretary duties is to lodge the related document to Companies Commission of Malaysia (CCM). One of trainee job task is updating and rearrange the document that need to be lodge to CCM. The related document that need to be lodge by the trainee is Form 49 (Register of the Particulars of Directors, Managers and Secretary), Form 24, Form 44, Form 13A, and other related documents. Usually, after the meeting, there are a few details that trainee have to change and need to keep updates. After all the Forms has follow the requirement and checked by the company secretary, trainee herself went to CCM Kota Bharu and have experience to lodge
