A partnership was established between Reba Jones and Jeannie Smithers. They agreed to do business with each other, and formed Art Scene. They both agreed orally to a two year partnership. They did not have a written contract. They did not have a clear agreement on the distribution of assets, or dissolution of the partnership. Furthermore, they did not establish share of profits and losses. Therefore, under RUPA it states that it should be shared equally. Smithers can back out of the partnership, because she does not wish to continue business with Jones. However, this does not relieve Jones of her obligations and duties to the partnership. The partnership has a legal right to the artwork produced by Smithers prior or during the partnership,
